As a VP Legal, you will lead the legal function for a rapidly growing cloud services company, ensuring robust governance and compliance across all jurisdictions while driving strategic initiatives such as a future IPO and international expansion. You will oversee a dynamic team of counsel, manage high‑impact contracts, and provide proactive legal guidance to senior leadership on product strategy, data privacy, and regulatory matters in a highly regulated SaaS environment. Your role will involve collaboration with finance, HR, and product teams to align legal strategy with business objectives, while maintaining the company’s focus on innovation and market leadership. You will also represent the company in negotiations, risk assessments, and litigation matters, cementing your position as a trusted partner to the executive team and ensuring legal excellence throughout the organization.

• Key Responsibilities
• Legal Strategy and Leadership:
• Develop and implement the legal strategy in alignment with business objectives, growth plans, and risk management priorities.
• SaaS and Technology Law:
• Advise on legal matters related to SaaS business models, software licensing, subscription agreements, technology partnerships, service-level agreements, data protection, and intellectual property.
• IPO Readiness:
• Lead legal preparation for a potential initial public offering, including corporate governance, legal due diligence, documentation, disclosure requirements, and coordination with relevant advisors.
• Corporate Governance:
• Establish and maintain effective governance frameworks, board processes, statutory records, and corporate policies in accordance with applicable laws and regulations.
• Commercial Contracting:
• Draft, review, negotiate, and manage customer agreements, vendor contracts, strategic partnership agreements, and other commercial arrangements.
• Regulatory Compliance:
• Monitor applicable legal and regulatory developments and ensure compliance with corporate, commercial, employment, privacy, and other relevant legal requirements.
• Risk Management:
• Identify and assess legal and contractual risks, develop mitigation strategies, and advise leadership on potential legal exposure and business implications.
• Fundraising and Corporate Transactions:
• Provide legal support for fundraising, mergers and acquisitions, strategic investments, corporate restructuring, and other business transactions as required.
• Litigation and Dispute Resolution:
• Oversee legal disputes, claims, arbitration, and litigation in collaboration with external counsel, ensuring effective risk management and resolution.
• Intellectual Property and Data Protection:
• Safeguard intellectual property and advise on confidentiality, data security, privacy obligations, and technology-related legal risks.
• External Counsel Management:
• Select and manage law firms, legal consultants, and other external advisors to ensure high-quality, cost-effective legal support.
• Cross-Functional Partnership:
• Work closely with finance, HR, sales, technology, compliance, and executive leadership to integrate legal considerations into business decisions.
• Legal Process Improvement:
• Develop standardized contracts, policies, approval workflows, and compliance processes to improve efficiency and consistency across the organization.

What Makes You a Great Fit

• 12+ years of progressive legal experience, preferably in a technology, SaaS, software, or other fast-growing business environment.
• Strong knowledge of SaaS-related legal matters, including software licensing, subscription contracts, commercial negotiations, and technology partnerships.
• Demonstrated experience supporting IPO readiness, public-market preparation, corporate governance, or related capital-market transactions.
• Sound understanding of corporate law, regulatory compliance, commercial law, and applicable disclosure and governance requirements.
• Proven ability to advise senior executives and business leaders on complex legal, commercial, and strategic matters.
• Experience managing contract negotiations, legal due diligence, corporate transactions, and external legal counsel.
• Strong analytical, negotiation, communication, and stakeholder management skills.
• Ability to identify legal risks and develop commercially practical solutions without compromising compliance.
• Experience building scalable legal processes, policies, and governance frameworks in a growing organization.
• High professional integrity, sound judgment, attention to detail, and the ability to manage multiple priorities in a dynamic business environment.
